1. Acceptance
By accessing or using metrofoodsafety.nyc (the "Site") or engaging Metro Food Safety Corp. ("Metro") for services, you agree to these Terms.
2. Services
Metro provides restaurant compliance consulting, including inspection readiness reviews, HACCP and SOP documentation support, staff training, and ongoing compliance management. Specific deliverables and fees are defined in each engagement agreement.
3. Not a government agency
Metro is an independent consulting company. We are not affiliated with the New York City Department of Health and Mental Hygiene or any other government agency, and we do not issue permits, licenses, certifications, or grades.
4. No guarantee of inspection outcome
While our services are designed to support inspection readiness and reduce risk, inspection outcomes depend on factors outside our control. Metro makes no guarantee of a specific inspection grade, score, or outcome.
5. Client responsibilities
You agree to provide accurate information, implement recommended practices, and maintain compliance with applicable laws and regulations. Metro is not responsible for actions or omissions by your staff or third parties.
6. Payment
Fees are due as specified in the engagement agreement. Late payments may incur interest at the lower of 1.5% per month or the maximum rate permitted by law.
7. Intellectual property
Site content, checklists, SOP templates, and other materials are the intellectual property of Metro and are licensed for your internal business use only. You may not resell, republish, or redistribute them.
8. Confidentiality
Both parties agree to keep non-public information shared during an engagement confidential and to use it only for purposes of the engagement.
9. Disclaimer of warranties
The Site and services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, Metro's total liability arising out of or related to the services shall not exceed the fees paid by you to Metro in the three (3) months preceding the claim. Metro shall not be liable for indirect, incidental, consequential, or punitive damages.
11. Indemnification
You agree to indemnify and hold Metro harmless from claims arising out of your breach of these Terms or your operation of your business.
12. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Venue for any dispute shall lie in the state or federal courts located in New York County, New York.
13. Changes
We may update these Terms from time to time. Continued use of the Site after changes constitutes acceptance.
